보통은 현금으로 지급되지만 주식에 의한 경우도 있다.
현금배당(Cash Dividend)은 현금으로 배당이 이루어지는 경우를 말한다.
현금배당은 주식회사가 주주총회의 결의로써 주주에게 현금으로 배당을 지급하는 형태로
운전자본의 직접적인 지출을 수반하므로 기업의 입장에서는 배당액과 지급기일 등에 있어
보유현금잔액과 미래의 현금흐름 등을 신중히 고려해서 결정해야 된다.
반면 주식배당(Stock Dividend)은 주주에 대한 이익배당으로 현금 대신 이에 상당하는
신주를 발행하여 배당하는 것이다.
주식배당을 하면 미처분 이익잉여금이 자본금에 전입되어, 현금이 회사 밖으로 빠져나가지 않아
기업의 재무구조가 좋아지고, 담보력과 신용이 높아질 뿐 아니라
유통주식수의 증가로 시장성을 높여 주가를 적정수준으로 유지할 수 있게 하는
등의 이점이 있다. 주주의 입장에서도 액면가 기준으로 지급되는 현금배당 대신
주식을 더 받는다는 측면에서 유리하다.
기업에 있어서도 자본금이 [배당주식수*액면가]만큼 늘어나는 효과가 있다.
주식 배당을 통해 총 주식수가 늘었기 때문이다. 무상증자도 이와 유사한 효과다.
하지만 기업의 자본금은 늘어났지만 이익잉여금을 사용했기 때문에 자본총계에는 변함이 없다.
기업들이 주주환원에 주식배당을 활용하는 데는 그만한 이유가 있다.
주주들에게 배당하면서도 현금유출이 일어나지 않아 연구개발(R&D)이나 설비투자 등에
활용할 수 있기 때문이다. 주주로서 발행 주식수가 늘어나지만 지분희석이 일어나지 않는다.
보유지분에 비례해 신주를 주기 때문에 지분율에도 변동이 없다.
유통주식수가 늘어나 거래가 활발해지면 주가가 상승하는 효과도 누릴 수 있다.
성장하는 기업이라면 주가상승에 따른 시세차익도 얻게 된다.
즉 주가가 오를 것으로 예상된다면 주식배당이 더 유리하다고 정의할 수 있다.
일반적으로 미래 성장 전략에 따른 기업 가치를 주주와 공유하고 주주가치를 극대화한다는
의미의 배당이라 받아들여진다.
두 배당의 차이점을 살펴보면 현금배당은 연말 결산 후 다음해 1~2월 중에 이사회에서
배당금을 결정하고 3월 정기주총(결산일로부터 90일 이내)승인을 거쳐 4월에 지급된다.
따라서 현금배당은 배당기준일(당해 12월)보다 이사회의 배당결정이 늦기 때문에 당해 배당금을
미리 알 수 없는 경우가 많다.
주로 해마다 비슷한 배당률을 보이는 기업이 평소와 비슷한 실적이거나 그 이상의 실적을
